Welcome to the IndLangs website and mobile application (Here onwards both are called as ‘IndLangs Applications’).Please read these terms and conditions ("Terms", "Terms and Conditions") carefully before using the ‘IndLangs Applications’. The IndLangs Applications is operated by HEMRAGS TECHNOLOGY (“IndLangs”, "us", "we", or "our"). These Terms and Conditions govern use of the ‘IndLangs Applications’ in order to avail any services by you (“you” and “user”). Your access to and use of the ‘IndLangs Applications’ is conditioned on your acceptance of and compliance with these Terms. These Terms apply to all visitors, users and others who access, view, use the ‘IndLangs Applications’. By accessing or using the ‘IndLangs Applications’ you agree to be bound by these Terms. If you disagree with any part of these Terms then you may not access, download or use the ‘IndLangs Applications’.
§ 1 GENERAL INFORMATION
1.1 The ‘IndLangs Applications’ provides its users the facility to learn Indian languages, through video lessons, books by IndLangs which can be registered for using the ‘IndLangs Applications’ (“Services”). The users may subscribe and learn language learning modules available on the ‘IndLangs Applications’ .The users may also subscribe for online courses on ‘IndLangs Applications’ . The App can be downloaded by the users for free; but in order to access the Indian Language learning videos OR courses the users need to pay a one-time fee, as provided for in clause § 4. By using our Services, information and by downloading the App, you are agreeing to these Terms and Conditions.
§ 2 ACCEPTANCE OF TERMS
2.1 Your use of the App and our Services is subject to these Terms and Conditions. You may use our Services only as permitted by law. Services to you may be suspended or stopped permanently if you do not comply with applicable law and these Terms and Conditions or if we, or any authorized authority are investigating any alleged misconduct or breach of law.
2.2 Registration on the ‘IndLangs Applications’ is open to only to those of you who can form legally binding contracts under applicable law. By registering on the App or using the Services, you represent that you have reached the legal age permitted under applicable law to use or view the ‘IndLangs Applications’ and avail the Services and that you have read, understood and are bound by these Terms and Conditions, together with any related policies and guidelines (e.g., our privacy policy) that are incorporated by reference in these Terms and Conditions.
2.3 BY USING OR ACCESSING THE APP OR WEBSITE OR SERVICES YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTAND AND AGREE TO BE BOUND BY THESE TERMS AND CONDITIONS.
2.4 We reserve the right to change, amend or modify the Terms and Conditions at any time. Any such change, amendment or modification to our Terms and Conditions, shall be with or without notification to the registered users. Users should check terms and conditions regularly to get the updates.
2.5 If any changes or updates to the Terms and Conditions are not acceptable, you should immediately cease to use the ‘IndLangs Applications’ and cancel any account(s) and Services you have previously signed up for. Your continued use of the App, website and the Services after a change or update has been made to the Terms and Conditions will constitute your acceptance of any change or updatethe Terms and Conditions.
2.6 When you upload any information on the ‘IndLangs Applications’ as required under clause 3.1or clause 4.1below you agree to provide current, complete, true and accurate information. You agree not to provide any false or misleading information. You agree to update any changes in the information provided by you on the ‘IndLangs Applications’. If IndLangs suspects that any information uploaded by you is untrue, inaccurate, not current or incomplete; IndLangs may refuse you access to the Services and pursue any appropriate legal remedies.
2.7 In order to register yourself on the ‘IndLangs Applications’, you are required to create an account. In creating such account you will be required to upload certain information as required by IndLangs. § 3 ACCOUNTS AND USE OF SERVICES
3.1 When availing the Services on the ‘IndLangs Applications’ you will be required to enter your valid email address, name, address and telephone number and any other information required on the ‘IndLangs Applications’ (“Information”). Once you have entered this Information IndLangs will register an account for your exclusive use, and provide you with a login id, which will be your registered email address (“User ID”). You can use the User ID to log in to your exclusive account on the ‘IndLangs Applications’ (“Account”). You can also change the password for your Account. The User ID generated by IndLangsis personal to you and for your exclusive use only and you are responsible for its security and use.
3.2 When you create an Account with us, you must provide us information that is accurate, complete, and current at all times. Failure to do so shall constitute a breach of these Terms, which may result in immediate termination of your Account.
3.3 You are responsible for safeguarding the password that you use to access yourAccount and for any activities or actions undertaken through your password, whether in connection with Services or a third-party service.You agree not to disclose your password to any third party. You must notify us immediately upon becoming aware of any breach of security or unauthorized use of your Account.
3.4 By registering on the ‘IndLangs Applications’and creating an Account, you hereby authorize IndLangs to send you alerts, notifications and updates on your registered phone number and registered email address regarding any Service or any related information. You may opt out of these messages at anytime.
3.5 All Information collected from you and maintained by IndLangsfor the purpose of provision of Services, is in accordance with the provisions of the Information Technology Act, 2000 (“Act”) and the rules made thereunder (as amended from time to time).
§ 4 PURCHASES AND PAYMENTS
4.1 User can purchase either each video lessons, course (set of videos) or books . If you wish to purchase any lesson OR course or books made available by IndLangs through the ‘IndLangs Applications’ ("Purchase"), you are required to a pay a non-refundable fee as identified on the ‘IndLangs Applications’ for such product. You may be asked to supply certain information relevant to your Purchase including, without limitation, your credit/ debit card number, the expiration date of your credit card, your billing address, and your shipping information.
4.2 You represent and warrant that: (i) you have the legal right to use any credit/ debit card(s) or other payment method(s) in connection with any Purchase; and that (ii) the information you provideto us is true, correct and complete.
4.3 By submitting such information, you grant us the right to provide such information to third parties for purposes of facilitating the completion of Purchase.
4.4 We reserve the right to refuse or cancel your Purchase order at any time for certain reasons including but not limited to: errors in the description or price of the Module, error in your order or other reasons.
4.5 We reserve the right to refuse or cancel your Purchase order if fraud or an unauthorized or illegal transaction is suspected.
4.6 IndLangs will generate an invoice for successful Purchases. The invoice shall contain respective tax calculation and such other relevant information as may be required.
4.7 Each party shall be responsible for and shall pay to the applicable governmental authority all sales taxes, value added taxes, and goods and services taxes applicable to the transactions hereunder that are transacted by such party.
4.8 Available modes of payment shall be as shown on the ‘IndLangs Applications’from time to time.
§ 5 DISCLAIMER AND WARRANTIES:
5.1 INDLANGS, ITS LESSONS AND COURSES, CONTENT, AND SERVICES ARE PROVIDED AS IS, WITHOUT WARRANTY OR CONDITION OF ANY KIND, EITHER EXPRESSED OR IMPLIED.IndLangs DISCLAIMS ALL WARRANTIES, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTIES OF TITLE, NON-INFRINGEMENT, MERCHANTABILITY, PRICE OR FITNESS FOR A PARTICULAR PURPOSE, IN RELATION TO THE SERVICES.
5.2 INDLANGS MAKES NO WARRANTY THAT THE LESSONS AND COURSES, ITS CONTENT ON IndLangs OR THE SERVICES WILL MEET YOUR REQUIREMENTS OR BE AVAILABLE ON AN UNINTERRUPTED, SECURE, OR ERROR-FREE BASIS. INDLANGS MAKES NO WARRANTY REGARDING THE QUALITY OF ANY SERVICES, ACCURACY, TIMELINESS, TRUTHFULNESS OR COMPLETENESS OF ANY INFORMATION OR CONTENT AVAILABLE ON INDLANGS.
5.3 YOU HEREBY RELEASE AND DISCHARGE INDLANGS FROM ANY AND ALL CLAIMS, LIABILITIES, CAUSES OF ACTION, DAMAGES, LOSSES, DEMANDS OR OBLIGATIONS OF EVERY KIND AND NATURE, IN RELATION TO ANY SERVICES PROVIDED BY INDLANGS TO YOU.
5.4 If any changes or updates to the Terms and Conditions are not to your acceptance, you should immediately cease to use IndLangs Services and cancel any Account you have previously created. Your continued use of the ‘IndLangs Applications’ or the services after a change or update has been made to the Terms and Conditions will constitute your acceptance of such change or update.
§ 6 AVAILABILITY, ERRORS AND INACCURACIES
6.1 We are constantly updating our offerings of products and Services on the ‘IndLangs Applications’. The products or Services available on our ‘IndLangs Applications’may be mispriced, described inaccurately, or unavailable, and we may experience delays in updating information on the ‘IndLangs Applications’, and in our advertising on other web sites.
6.2 IndLangs makes no warranty express or implied on the accuracy or completeness of any information, including prices, product images, specifications, availability, and Services. We reserve the right to change or update information and to correct errors, inaccuracies, or omissions at any time without prior notice to the users.

All promotional material used by IndLangs , including not limited to brand, label, design, layout, images, user-interface, domain-names and text are the property of IndLangs (“IndLangs Intellectual Property”) and indicative of IndLangs and its Services. IndLangs ’s ownership and title over such Intellectual Property is protected by applicable laws including but not limited to copyright, trademark, trade-names, internet domain names, data protection, Information Technology laws, privacy rights and other similar rights and statutes. All ownership and intellectual property rights in the App and its contents shall remain with IndLangs , its affiliates or licensor’s, as the case may be and does not pass on to you.
7.2 You may view content on the ‘IndLangs Applications’for your own personal use, subject to the restrictions set out below and elsewhere in these Terms and Conditions. You must not:
a. Share, distribute, reproduce, duplicate, copy or otherwise exploit material or content from the App for any purpose whatsoever;
b. Edit or otherwise modify any content, pages or content of the ‘IndLangs Applications’;
c. Remove any copyright and other notices contained in any content displayed, downloaded, or copied from the ‘IndLangs Applications’;
d. You shall not store electronically any significant portion of any content or Modules on any of your electronic devices;
7.3 You agree to inform us of any un-authorized use of our Intellectual Property by any third-party and cooperate with us for restricting and prohibiting such un-authorized use of our Intellectual Property.
§ 8 USER CONTENT
8.1 The ‘IndLangs Applications’allows you to post reviews, share link of the ‘IndLangs Applications’, and rate the ‘IndLangs Applications’ ("Material"). You are responsible for the Materialthat you post onthe ‘IndLangs Applications’, including its legality, reliability, and appropriateness. You may contact us by filling a contact from available on the ‘IndLangs Applications’and share your feedback with us.
8.2 By posting Material onthe ‘IndLangs Applications’, you grant us an irrevocable, royalty free and worldwide license to use, modify, publicly display, reproduce, and distribute such Material on and through the ‘IndLangs Applications’. You retain any and all intellectual property rights to theMaterial you submit, post, upload on the ‘IndLangs Applications’and you are responsible for protecting those rights. You grant us the license to make your Material available to other users of the ‘IndLangs Applications’, who may also use your Material.
8.3 You represent and warrant that: (i) the Materialis yours (you own all the intellectual property rights over the Material) or you have the license to use it and grant us the rights and license as provided in these Terms, and (ii) the posting of your Materialon the ‘IndLangs Applications’ does not violate the privacy rights, publicity rights, copyrights, contract rights or any other rights of any person.
8.4 If you believe that any content on the ‘IndLangs Applications’has been copied in a way that constitutes infringement of your intellectual property, you must bring such infringement to our notice by writing to us with the subject "Copyright Infringement" and send it to contact@indlangs.com detailing the description of the alleged Infringement.
§ 9 PROHIBITED ACTIVITIES
9.1 As a critical and material condition of your use of our Services, you agree and undertake that you will not at any time, directly or indirectly, do or permit to be done all or any of the following.
a. Probe, scan or test the vulnerability of the ‘IndLangs Applications’or our Services;
b. Restrict or inhibit any other user from using and enjoying our Services;
c. Engage in or encourage fraudulent conduct or conduct that would constitute any other criminal offense or give rise to civil liability;
d. Distribute in any manner or upload any harmful, obscene or otherwise illegal or objectionable material of any kind;
e. Post, send, submit, publish, or transmit proprietary material of any third party without their consent;
f. Impersonate or misrepresent your affiliation with any person or entity;
g. Send altered, deceptive or false source identifying information, including “spoofing” or “phishing”;
h. Violate any law or undertake any activity on the ‘IndLangs Applications’that could upon the occurrence of a third party action or omission violate any law;
i. Post, send, submit, publish or transmit programs that contain viruses, worms and/or Trojan horses or any other computer code, files, or programs designed to interrupt, destroy, or limit the functionality of any computer software or hardware or telecommunications;
j. Violate or attempt to violate, the security of the ‘IndLangs Applications’;
k. Usethe ‘IndLangs Applications’or our Services to infringe the intellectual property rights of others in any way;
l. Use the ‘IndLangs Applications’or our Services or make any attempt to penetrate, modify or manipulate the App or our Services or any of our hardware or software in order to:
i. invade the privacy of, obtain the identity of, or obtain any personal information or documents concerning (including but not limited to IP addresses of) any of our Account holders or users, or
ii. modify, erase or damage any information contained on the computer of any user connected to the Services;
m. Reverse engineer any portion of the ‘IndLangs Applications’or Services or any applications or software used therein or in relation thereto;
n. Co-brand the ‘IndLangs Applications’;
o. Frame the ‘IndLangs Applications’; or
p. Hyperlink to this ‘IndLangs Applications’, without express prior written permission of an authorized representative of IndLangs ; or
q. Assist or permit any persons in engaging in any of the activities described above.
For purposes of these Terms and Conditions, “co-branding” means to display a name, logo, trademark, or other means of attribution or identification of any party in such a manner as is reasonably likely to give a user the impressions that such other party has the right to display, publish, or distribute this site or content accessible within the App.
9.2 You agree to cooperate with us in causing any unauthorized use, co-branding, framing or hyper-linking to immediately cease.
9.3 If you violate any Terms and Conditions, we may issue a warning about the violation, or we may choose, at our sole discretion, to immediately terminate or suspend any and all of your Accounts without assigning any reasons.
9.4 You acknowledge that we are not required to provide you notice before terminating or suspending our Services, but may choose to do so. We reserve the right to deny, in our sole discretion, any user access the ‘IndLangs Applications’or Services without notice and for any reason (including, without limitation, for violation of these Terms and Conditions).
9.5 IndLangs reserves the rights to monitor use of the ‘IndLangs Applications’to determine compliance with these Terms and Conditions, as well the right to remove or refuse any information for any reason or suspend your access to the Appfor any reason. Not withstanding those rights, you remain solely responsible for the authenticity of the Information uploaded by you on the ‘IndLangs Applications’or for access of our Services.
9.6 WE RESERVE THE RIGHTS TO INVESTIGATE AND TO COOPERATE WITH LAW ENFORCEMENT AUTHORITIES, AND TO PURSUE ANY INVESTIGATION PERTAINING TO CIVIL LAWSUIT(S) OR CRIMINAL PROSECUTION FOR ANY ALLEGED OR ACTUAL ILLEGAL ACTIVITIES INVOLVING THE APP OR ANY OF THE SERVICES.
§ 10 LIMITATIONS OF LIABILITY
10.1 THE WEBSITE, MOBILE APPLICATION, LESSONS, COURSES, THE CONTENT, BOOKS AND SERVICES ARE PROVIDED AS IS, WITHOUT WARRANTY OR CONDITION OF ANY KIND, EITHER EXPRESSED OR IMPLIED. YOU EXPRESSLY UNDERSTAND AND AGREE THAT IndLangs SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, CONSEQUENTIAL OR EXEMPLARY DAMAGES ARISING OUT OF OR IN ANY WAY RELATED TO THIS AGREEMENT OR THE USE OF ANY OR ALL OF THE SERVICES, INCLUDING, WITHOUT LIMITATION, DAMAGES RELATING TO USE OF SERVICES, DATA OR OTHER INTANGIBLE LOSSES (EVEN IF INDLANGS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES). WITHOUT PREJUDICE TO THE FOREGOING, THE AGGREGATE LIABILITY OF INDLANGS FOR ANY REASON AND UPON ANY CAUSE OF ACTION (INCLUDING, WITHOUT LIMITATION, NEGLIGENCE, STRICT LIABILITY AND OTHER ACTIONS IN CONTRACT OR TORT) ARISING OUT OF OR IN ANY WAY RELATED TO INDLANGS , THE SERVICES OR THIS AGREEMENT SHALL BE LIMITED TO TWENTY-FIVE PERCENT OF THE VALUE OF THE NET PAYMENT ACTUALLY RECEIVED BY INDLANGS IN RELATION TO THE SPECIFIC TRANSACTION GIVING RISE TO SUCH LIABILITY, WHICH NET PAYMENT SHALL BE COMPUTED AFTER DEDUCTING ANY TAXES PAID OR PAYABLE ON THE TRANSACTION.
10.2 THE LIMITATION OF LIABILITY HEREIN APPLIES TO ALL LIABILITIES IN THE AGGREGATE, INCLUDING, WITHOUT LIMITATION, THOSE RESULTING FROM YOUR USE OR YOUR INABILITY TO USE THE INDLANGS WEBSITE OR MOBILE APPLICATION OR ANY OTHER PART OF THE SERVICES, OR ANY OTHER MATTER ARISING FROM OR RELATING TO INDLANGS.
§ 11 TERMINATION
11.1 Without prejudice to our other rights under these Terms and Conditions, if you breach these Terms and Conditions in any way, we may take such action as we deem appropriate to deal with such breach, including suspending your access to the ‘Indlangs Applications’, prohibiting you from accessing the ‘Indlangs Applications’, contacting your internet service provider to request that they block your access to the App and/or bringing court proceedings against you. Any suspension of Services available to you or refusal of access to the Lessons OR Courses or books or online classes for breach of these Terms will be at no cost to us. All Lesson OR Course or books or online classes Fee paid previously will stand forfeited in the favour of us. No refunds of the lessons or course Fee will be provided.
11.2 Not withstanding any of these Terms and Conditions, IndLangs reserves the right, without notice in its sole discretion, to terminate your Account and/or block your use of the ‘Indlangs Applications’.
11.3 If you wish to terminate your account, you may simply discontinue using the Services and logout from the ‘Indlangs Applications’.
§ 12 FORCE MAJEURE
You will not hold IndLangs responsible or liable for any delay or non-performance of any obligations under these Terms that may occur due to any cause (s) beyond our reasonable control including but not limited to, Act of God, Government Act, War, Fire, Flood, Explosion, Civil commotion etc.
§ 13 ASSIGNMENT
These Terms and the Services provided herein are personal to you. You are prohibited from assigning, transferring or conveying any part or the whole of these Terms between you and us to any third party or entity, without prior permission and written consent from us.
§ 14 INDEMNITY
You agree to indemnify and hold IndLangs harmless, and to defend IndLangs from and against any claim, demand, cause of action, debt, loss or liability, including reasonable attorneys’ fees, to the extent that such action is based upon, arises out of, or relates to: (i) your use of (or inability to use) the Services; (ii) user intellectual property uploaded by you; (iii) your violation of the Terms and Conditions governing your use of the Services; (iv) the infringement by you, or any other person using your password and Account, of any right of any person or entity; or (v) any other activities of yours accomplished using the Services.
§ 15 SEVERABILITY
If a provision of these Terms and Conditions is determined by any court or other competent authority to be unlawful and/or unenforceable, the other provisions will continue in effect. If any unlawful and/or unenforceable provision would be lawful or enforceable if part of it were deleted, that part will be deemed to be deleted, and the rest of the provision will continue in effect.

These Terms and Conditions are for the benefit of you and us, and are not intended to benefit any third party or be enforceable by any third party. The exercise of our and your rights in relation to these Terms and Conditions is not subject to the consent of any third party.

These Terms and Conditions, together with our Privacy Policy constitute the entire agreement between you and us in relation to your use of the App.

18.1 These Terms shall be governed and construed in accordance with the laws of India, without regard to its conflict of law provisions, and any disputes relating to these Terms and Conditions will be subject to the exclusive jurisdiction of the courts in Bangalore, Karnataka.

ORDER PLACE AND PAYMENT
1. Your order through this website is an offer to us to buy the product(s) in your order. When you place an order to purchase a product from us, you will receive an e-mail confirming receipt of your order and containing the details of your order (the “Order Confirmation E-mail”). The Order Confirmation E-mail is acknowledgement that we have received your order. We only accept your offer, and conclude the contract of sale for a product ordered by you, when the product is dispatched to you and an e-mail confirmation is sent to you that the product has been dispatched to you (the “Dispatch Confirmation E-mail”). The Dispatch Confirmation E-mail shall indicate the estimated time(days) required for delivery to your address.
2. The price shall be the Maximum Retail Price less agreed discount, unless agreed otherwise between the parties.

9. indlangs.com makes no representation or warranties of any kind, express or implied, as to the operation of the above mentioned payment gateway facility as third party provides it. Grievance, if any, in respect to this payment gateway may be taken up through correspondence directly with the payment gateway facility provider.
DELIVERY
1. Unless otherwise agreed in writing, delivery of the Goods shall take place at the address specified by the Buyer. The Buyer shall make all arrangements necessary to take delivery of the Goods whenever they are tendered for delivery.
2. Delivery will be effected by us only in respect of those orders which are completed transaction(s).
3. We support shipping of goods only within India.
4. Books ordered from us will be delivered through a trusted courier or through post with in 7-14 days.They are not guaranteed dispatch times and should not be relied upon as such.
5. Any delayed or missed parcels shall be tracked after 7 days by the Seller with the courier company and customer will be notified about the progress over the contact details supplied by the customer at the time of purchase.
RETURNS AND REFUND POLICY
1. RETURNS FOR REPLACEMENT: If you receive a damaged or a defective item you may please return the same to us in a proper package. Kindly enclose a note stating the reason for the returns. Also state your Order No & send it to us via a trusted courier or mail. This facility is only for goods bought from us. 2. User need to pay the course fee before attending the classes.
3. Once the payment is made, fee will not be refunded.
